These Terms of Service ("Terms") govern your access to and use of PropoKit (the "Service"), operated by PropoKit LLC ("we," "us," or "our"). By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using PropoKit, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

PropoKit is a web-based application that allows users to create, manage, and share professional business proposals. Features include proposal creation, digital signatures, PDF export, QuickBooks integration, and proposal sharing.

3. Account Registration

You must sign in using a Google account to use the Service. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload or transmit any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other user accounts
• Interfere with or disrupt the integrity or performance of the Service
• Scrape, crawl, or use automated means to access the Service without our consent
• Use the Service to send spam, phishing, or unsolicited communications
• Impersonate any person or entity or misrepresent your affiliation

5. Your Content

You retain ownership of all content you create, upload, or store through the Service ("Your Content"), including proposals, company information, and uploaded files. By using the Service, you grant us a limited license to host, store, and display Your Content solely for the purpose of providing the Service to you.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. We do not review or endorse any proposals or business documents created through the Service.

6. Shared Proposals

When you generate a share link for a proposal, the proposal content becomes accessible to anyone with that link. You are responsible for sharing links only with intended recipients. Shared proposals may be signed electronically by recipients, and such signatures are stored as part of the proposal record.

7. Third-Party Integrations

The Service may integrate with third-party services such as QuickBooks Online. Your use of third-party integrations is subject to those services' own terms and privacy policies. We are not responsible for the actions or policies of third-party services.

8. Subscription and Payments

PropoKit offers free and paid subscription plans. Paid features, pricing, and billing terms are presented at the time of purchase. We reserve the right to change pricing with reasonable notice. Refunds are handled on a case-by-case basis.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or security reasons. We will make reasonable efforts to provide advance notice of planned downtime.

10. Intellectual Property

The Service, including its design, code, features, and branding, is owned by PropoKit LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written consent.

11. Limitation of Liability

To the maximum extent permitted by law, PropoKit LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Indemnification

You agree to indemnify and hold harmless PropoKit LLC and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at our discretion, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to comply with legal obligations.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
